Secretary Cascos reminds Texas businesses of filing deadline

Austin, TX — Today, Texas Secretary of State Carlos H. Cascos reminded Texas businesses formed as corporations and LLCs to submit their necessary end-of-year filings before the December 31 deadline.

“In order to have a 2015 filing date, businesses must file documents in the correct form by 5:00 p.m. on December 31,” said Secretary Cascos. “It’s better to file sooner rather than later so document corrections, if needed, can be made before the very end of the year.”

Documents received by the business and public filings division by 5 p.m. on Thursday, Dec. 31, in correct form will receive a 2015 file date.

Important filing guidelines include:

  • Documents received after close of business on Dec. 31 will receive a 2016 file date.
  • Postmarks and fax confirmation notations do not count.
  • Incomplete and incorrect documents are returned without filing.
  • A corrected document receives a file date based on its resubmission, not the date of the original submission.

Whenever possible, Texas businesses are encouraged to file online using SOSDirect, which can be accessed through the secretary of state’s website. Formation filings, terminations and withdrawals can be handled through SOSDirect. Official forms and filing information, including fees, are also available on the website.

Since last year, users can locate the record and current status of their business filings using the Business tracker and a simple keyword search. The tracker is available on the Texas Secretary of State’s homepage.

Businesses intending to file end-of-year documents should consider holiday schedules and plan accordingly. The secretary of state’s business and public filings division will be closed Dec. 23-27 and January 1. Also, the state comptroller’s office, which provides certificates for some business filings, will also have holiday closures.
