Secretary of State’s office reminds businesses: Don’t wait, file early

AUSTIN, TX – Today, the business and public filings division of the Texas Secretary of State's office urged businesses formed as, corporations and LLCs to submit their necessary end-of-year filings (PDF) as early as possible before the December 31 deadline.
Documents received by the business and public filings division by 5 p.m. on Tuesday, Dec. 31 in correct form will receive a 2013 file date. By filing before the last minute, businesses leave enough time to correct any errors on their documents.
Important filing guidelines include:
- Documents and faxes received after close of business on Dec. 31 will receive a 2014 file date.
- Postmarks and fax confirmation notations do not count.
- Incomplete and incorrect documents are returned without filing.
- A corrected document receives a file date based on its resubmission—not the date of the original submission.
Whenever possible, Texas businesses are encouraged to file online using SOSDirect, which can be accessed through the secretary of state's website at sos.state.tx.us. Formation filings, terminations and withdrawals can be handled through SOSDirect. Official forms and filing information, including fees, are also available on the website.
Businesses intending to file end-of-year documents (PDF) should consider holiday schedules and plan accordingly. The secretary of state’s business and public filings division will be closed Dec. 24-27. Also, the state comptroller’s office, which provides certificates for some business filings, will be closed Dec. 24 through January 1, 2014.
